Terms of Service

These Terms of Service ("Terms") govern your access to and use of Marketplace Central ("ThoughtBox," "we," "us," or "our"), including the web application at thoughts.thoughtbox.ai and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service​

Marketplace Central is an AI-powered procurement platform that helps buying teams manage the purchasing lifecycle. The Service connects to third-party cloud services (Google Workspace, Microsoft 365, Dropbox, Amazon Web Services) on your behalf and provides an AI assistant for document analysis, vendor research, communication, and procurement workflow management.

2. Eligibility​

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account and Access​

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Third-Party Integrations​

The Service allows you to connect third-party accounts (Google, Microsoft, Dropbox, Box) to enable file browsing, email, and contact features. When you connect a third-party account:

  • You authorize us to access the specific data and services you have consented to via the third-party provider's OAuth authorization screen.
  • We access only the permissions (scopes) you explicitly grant.
  • You may disconnect any third-party account at any time from the Connections page.
  • Your use of third-party services remains subject to those providers' own terms of service.

5. AI-Powered Features​

The Service uses large language models (LLMs) to provide AI-assisted features including document analysis, summarization, drafting, and search. You acknowledge that:

  • AI-generated content may contain errors or inaccuracies. You are responsible for reviewing AI outputs before relying on them.
  • AI features are tools to assist your work, not replacements for professional judgment.
  • We do not guarantee any specific outcome from AI-generated recommendations.

6. Acceptable Use​

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service to transmit malware, spam, or other harmful content.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service in a manner that could damage, disable, or impair the Service.
  • Resell or redistribute access to the Service without our written consent.

7. Data Ownership​

You retain all ownership rights to the data and content you provide to the Service or access through connected third-party accounts. We claim no ownership over your data, files, emails, contacts, or AI-generated outputs created at your direction.

8. Intellectual Property​

The Service, including its software, design, and documentation, is owned by ThoughtBox and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

9. Service Availability​

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10. Limitation of Liability​

To the maximum extent permitted by law, ThoughtBox shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, data loss, or procurement decisions made based on AI-generated content.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties​

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Termination​

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

13. Changes to These Terms​

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law​

These Terms shall be governed by the laws of the State of Virginia, without regard to its conflict of law provisions.
